At the start of this year we have unified our company structure for our Finnish subsidiaries, and now operate collectively as Smartvatten Oy. Companies to be merged are Envera Oy, Envera Technologies Oy and Neuroflux Oy.
This merger does not affect our other subsidiaries VertoNordic Oy, Smartvatten AB, Smartvatten GmbH:n, ja Smartvatten B.V. The merger is being carried out in order to simplify the group structure within Smartvatten Group.
No actions are required by our clients on behalf of this merger. For our suppliers for Envera Technologies Oy and Neuroflux Oy, we kindly ask to note this merger in any future invoices, and address them to Smartvatten Oy.
We are also happy to announce that Smartvatten will establish a new subsidiary in Denmark at the beginning of 2023 to serve our local customers even better. Further information on this will follow in the near future.

The board of directors of both, Envera Oy, Envera Technologies Oy and Neuroflux Oy have approved a merger plan whereby Envera Oy as the acquiring company and Envera Technologies Oy and Neuroflux Oy as the merging companies shall merge by way of an absorption merger as set forth in Chapter 16, Section 2, Paragraph 1, Item 1 of the Finnish Companies Act.
The contemplated date of registration of the implementation of the merger is 31 December 2022 at which date all assets and liabilities (including supplier and customer contracts) of Envera Technologies Oy and Neuroflux Oy will transfer to Envera Oy. The merger is carried out in order to simplify the group structure within Smartvatten Group.

A public notice has been issued to the creditors of the companies in connection with the registration of the merger plans in accordance with the Chapter 16 Section 5 and 6 of the Finnish Companies Act.
